Terms of Service

Please read these terms carefully before using Rebis Brain.

1. Agreement to Terms

By accessing or using the Rebis Brain software, website (rebisbrain.com), or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

The Service is provided by Granite Peak Ventures LLC (“Company,” “we,” “us,” or “our”). These Terms constitute a legally binding agreement between you and the Company.

2. Description of Service

Rebis Brain is a locally-owned brain engine (LOBE) — a self-optimizing knowledge graph that runs on your hardware and integrates with AI-powered coding tools via the Model Context Protocol (MCP) and other interfaces. The Service includes:

  • Downloadable software (the “Brain Engine”)
  • License management and subscription services
  • Technical documentation and support
  • Updates and patches delivered during your subscription period

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Account and Subscription

4.1 Registration

To access the Service, you must provide accurate and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4.2 Subscription Plans

The Service is offered under subscription plans as described on our pricing page. Current plans include Developer, Team, and Enterprise tiers. Pricing, features, and availability are subject to change with reasonable notice.

4.3 Free Trial

New subscribers may be eligible for a 14-day free trial. The trial provides full access to the Service at no charge. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid plan and you will be charged the applicable subscription fee. Each individual or organization is entitled to one free trial only.

4.4 Billing and Payment

Subscription fees are billed monthly in advance via our payment processor (Stripe). By subscribing, you authorize us to charge your payment method on a recurring basis. All fees are stated in U.S. dollars unless otherwise indicated.

4.5 Cancellation and Refunds

You may cancel your subscription at any time. Upon cancellation:

  • Your access continues through the end of the current billing period.
  • No partial refunds are issued for unused time within a billing period.
  • If you cancel during your free trial, you will not be charged.

Refund requests for billing errors or exceptional circumstances may be submitted to hello@rebisbrain.com and will be reviewed on a case-by-case basis.

5. License Grant

5.1 Software License

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Brain Engine on devices you own or control, solely for your internal business or personal use.

5.2 Restrictions

You may not:

  • Copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Service or any part thereof
  • Reverse engineer, decompile, or disassemble the software, except as permitted by applicable law
  • Remove or alter any proprietary notices, labels, or marks
  • Use the Service to build a competing product or service
  • Share your license key or credentials with unauthorized third parties
  • Use the Service in any manner that violates applicable law or regulation

5.3 Seat Limits

Developer plans are licensed for a single user. Team and Enterprise plans are licensed per seat as specified in your plan. Exceeding your licensed seat count constitutes a breach of these Terms.

6. Your Data and Privacy

6.1 Local-First Architecture

Rebis Brain is designed to run locally on your hardware. Your knowledge graph data, activation logs, and brain state remain on your machine. We do not collect, transmit, or store the contents of your knowledge graph.

6.2 Data We Collect

We collect limited data necessary to operate the Service, including account information, billing details, license validation checks, and basic usage telemetry. For complete details, see our Privacy Policy.

6.3 Your Responsibility

You are solely responsible for the content of your knowledge graph and any data processed by the Brain Engine on your hardware. You represent that your use of the Service does not infringe any third-party rights.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Transmit malicious code, viruses, or other harmful content
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems
  • Engage in any activity that interferes with or disrupts the Service or its infrastructure
  • Use the Service for unlawful surveillance, harassment, or discriminatory purposes
  • Circumvent license enforcement mechanisms, trial limits, or usage restrictions

8. Intellectual Property

8.1 Our IP

The Service, including its software, design, architecture, documentation, branding, and all related intellectual property, is and remains the exclusive property of Granite Peak Ventures LLC. These Terms do not transfer any ownership rights to you.

8.2 Your IP

You retain all rights to your own content, code, and knowledge graph data. We claim no ownership over data you create, store, or process using the Service.

8.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, worldwide, royalty-free license to use and incorporate such feedback without obligation to you.

9. Third-Party Services

The Service may integrate with third-party tools and platforms (e.g., Claude Code, Cursor, VS Code, Stripe). Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. The Brain Engine produces contextual suggestions based on your knowledge graph; these suggestions are informational and do not constitute professional advice of any kind.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GRANITE PEAK VENTURES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Granite Peak Ventures LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) the content of your knowledge graph.

13. Termination

13.1 By You

You may terminate your account at any time by canceling your subscription and ceasing use of the Service.

13.2 By Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to: violation of these Terms, non-payment, fraudulent activity, or conduct that harms other users or our business interests.

13.3 Effect of Termination

Upon termination: (a) your license to use the Service immediately ends; (b) you must cease using the software and delete all copies; (c) your local data remains yours—we have no ability to access or delete it. Sections 8, 10, 11, 12, 14, and 15 survive termination.

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Montana, without regard to conflict of law principles.

14.2 Arbitration

Any dispute arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Montana, and judgment on the award may be entered in any court of competent jurisdiction.

14.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis, not as a class, consolidated, or representative action.

14.4 Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court’s jurisdictional limits.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements and understandings.

15.2 Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the website. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

15.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.

15.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms freely in connection with a merger, acquisition, or sale of assets.
